Corporate Counsel

Trimble MAPS is looking for a corporate attorney with extensive experience managing a broad range of enterprise agreements and contracts, including technology services, software licensing, and SaaS agreements.  Unlike legal roles within other organizations, this position is not limited to a single practice area and will work across the organization with all departments. Our attorneys work closely with our product, marketing, engineering, communications, customer support, and client relations teams, and are required to assist in a wide range of subject matters. This position requires using a combination of business acumen, technical knowledge, and legal skills, and as such, an aptitude for business is required and will be further developed on the job.  This role is critical to the business operations team. 

Primary Job Responsibilities:

  • Work within the Trimble MAPS Legal Department to help, draft, review, revise, and negotiate non-disclosure agreements,  enterprise contracts, software and SaaS, supplier contracts and related support and services agreements and data protection agreements
  • Review and negotiate routine sales and supplier contracts
  • Act as a trusted legal advisor as part of the business teams' efforts to establish, evaluate, and expand business relationships
  • Provide business teams with day-to-day legal perspective and guidance, as well as risk assessment and mitigation
  • Contribute to the continuous development and improvement of legal strategies and processes
  • Provide advice and support directly to business leads and technical specialists on a range of legal and business issues, including issues related to advertising, intellectual property and technology law
  • Advise on the structure of legal agreements with internal stakeholder teams, including sales, business operations, legal, and finance
  • Collaborate with sales,finance, business operations, and product teams regarding contract reviews and related processes
  • Support Procurement team and internal stakeholders on questions and guidance related to third party contracts and vendor relationships
  • Respond to inquiries on contract interpretation
  • Provide general legal support to internal stakeholder team


  • JD or equivalent 
  • Admission to the Bar of New Jersey;
  • 7- 10+ years of relevant legal experience 
  • Hands-on project management experience, including excellent organizational skills, the ability to manage a large number and variety of mission-critical projects, while working independently and in a fast paced environment
  • Outstanding negotiation, communication, and drafting skills
  • Demonstrably strong technical aptitude and business acumen
  • Very strong interpersonal and communication skills, including the ability to work in a team, communicate effectively with a wide variety of people, collaborate within the Trimble MAPS Legal team and diverse business groups, and build interdepartmental relationships at all levels
  • Demonstrated capacity to keep current on emerging business and legal trends in the technology, marketing and transportation industries
  • Technological experience with software, cloud computing, SaaS, or digital technologies is preferred
  • Understanding of CCPA and GDPR would be helpful
