Role Summary
As Miovision continues to grow we are seeking an in house General Counsel to join our team of experienced professionals. If you’re looking for a collaborative, team-based approach, this is the right opportunity for you.
 
As the General Counsel you must be able to apply your knowledge and experience with regard to a wide range of scenarios to provide the best advice possible that allows Miovision’s business to stay agile and competitive. In this role, you will report to our Chief Operating Officer. You will act as the face to the Board by representing the corporation before the Board of Directors. You will provide legal support and advice in areas that are critical to the success of every aspect of Miovision, including corporate governance, regulatory compliance, customer and supplier contracts, employment, merger & acquisition oversight, intellectual property protection and other general legal matters .
 
What you'll do:

  • Drafting, reviewing, and/or reading of legal documents and reports such as standard terms and conditions for Miovision proposals, RFP’s, and general sales contracts
  • Analyzing legal issues relating to proposed projects / services / products
  • Reviewing new business relationships with vendors, subcontractors, partners, customers, and employees
  • Assisting with all Intellectual Property matters 
  • Guiding teams, including Senior Management and the Board of Directors, on regulatory and compliance matters
  • Engaging in negotiations with respective parties when required
  • Setting-up, establishing, and or reviewing new legal structures or organizations
  • Representing the corporation before the Board of Directors
  • Assisting in structuring and negotiating M&A transactions
  • Negotiating credit facilities and related security agreements
  • Managing legal requirements of equity financing rounds
  • Implement processes, tools and systems to identify, assess, measure, and manage legal risk.
  • Providing supervision to outside lawyers hired to assist the corporation with their specialized legal services
  • Other duties as required

What we're looking for:

  • 15 + years of legal experience
  • Juris Doctor (JD) or Bachelor of Laws (LLB)
  • Playing in an individual contributor capacity
  • Experience working in a technology based company, specializing in hardware and software
  • Broad understanding of legal issues as it relates to corporate law
  • Excellent communication and interpersonal skills and ability to work collaboratively in a team environment with both internal business and technical teams as well as external contacts at all levels
  • Judgment and strategic thinking on structuring transactions, solving complex problems, and developing solutions
  • Ability to positively influence the behaviour of multiple stakeholders
  • Background and experience to be able to “hit the ground running”
  • Client and service focus with the ability to work in a fast-moving, demanding environment
  • Excellent negotiation and drafting skills
  • Ability to successfully manage competing priorities and work independently on a wide range of tasks
  • High level of integrity, professionalism, and trust, including in dealing with complex and sensitive matters
