https://a16z.com/portfolio We are looking for an Associate General Counsel to join our legal team in Menlo Park. In this role, you will report to the General Counsel and will work closely with the legal team and all other functions in the firm to provide support on a wide range of legal matters.
What you will do:
Deal Activity
- Negotiate and structure investment transactions across all sectors in the firm – bio, crypto, consumer, enterprise, and early and late-stage
- Lead legal and regulatory diligence on potential investments
- Coordinate deal processes within the firm among the investing partners, finance team and operating groups
Fund Operations
- Support investing team and portfolio management on legal matters - reviewing Board and stockholder consents, evaluating deal structures, providing counsel on governance and novel legal and regulatory fields
Public Company Portfolio / Securities Matters
- Manage public company and securities law matters, including:
- Complete questionnaires and other documents related to public company portfolio (including D&O and FINRA questionnaires and lock-up agreements)
- Coordinate exit and sale activities with finance team
- Ongoing SEC filings and reporting
M&A Activities
- Review and negotiate M&A transactions for venture portfolio companies
Firm Activities
- Support operating groups and legal needs of management company – including vendor contracts, NDAs, and marketing resources
- Firm litigation matters
Other
- Build and cultivate a network of in-house counsels and law firms
- Participate in industry and network events
Who you are:
- BA or BS from an undergraduate institution; JD from an accredited law school; membership in CA state bar
- 8-12 years of experience working on venture capital transactions and the technology industry as an attorney
- Knowledge of general corporate law (Delaware), 33 Act, 34 Act, 40 Act, tax, intellectual property, comp and benefits, employment and litigation
- Desire to work with technology companies
- You have strong communication and interpersonal skills, and are a great team member
- You are able to earn the trust and respect of General Partners and other a16z partners
- You have strong work ethic and the highest level of integrity
